Chancery Tosses $1.6B Regency Energy Sale Damage Suit


Law360 (February 16, 2021, 2:47 PM EST) — Delaware’s Chancery Court dismissed for a second time on Monday a 5½-year-old investor suit claiming that Regency Energy Partners LP sold itself short by more than $1.6 billion in an allegedly unfair $10.1 billion sale to Energy Transfer Partners LP in 2015.Chancellor Andre G. Bouchard, in a 129-page opinion, rejected the investors’ claim to damages based on allegations that ETP and Energy Transfer Equity LP — ETP’s general partner and indirect owner of Regency’s GP — should have paid more for Regency, and found that four Regency directors who approved the deal did so in good faith.
